Please read these Terms of Service carefully before installing or using Confirm It. By installing the app on your Shopify store, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you (the "Merchant" or "you") and Codecilia ("we", "us", "our"), the developer and operator of Confirm It (the "Service" or "App"). By installing, accessing, or using Confirm It, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, do not install or use the App.

2. Service Description

Confirm It is a Shopify embedded application that:

  • Receives new order notifications from your Shopify store via Shopify webhooks.
  • Automatically contacts your customers via WhatsApp or an automated voice call (IVR) to confirm or cancel their order.
  • Updates your Shopify order tags and records the confirmation outcome in a dashboard accessible from your Shopify admin panel.
  • Provides configurable settings for WhatsApp API providers, IVR endpoints, messaging limits, and confirmation preferences.

The App does not process payments, store payment card data, or act as a fulfilment provider. It is a communication and verification tool only.

3. Eligibility

You must have an active Shopify store and be the account owner or an authorised staff member with permission to install third-party applications. By agreeing to these Terms, you represent that you have the authority to bind your business to this agreement.

4. Your Account and Credentials

Confirm It authenticates with your Shopify store using an OAuth access token granted during installation. You are responsible for:

  • Keeping your Shopify admin credentials secure.
  • Configuring your WhatsApp API credentials (Meta Cloud API or Green API) and IVR endpoint securely. These credentials are stored in our database and used solely to send messages on your behalf.
  • Immediately revoking the Confirm It app's access if you believe any credentials have been compromised.

We are not liable for any losses resulting from unauthorised access to your account due to your failure to maintain credential security.

5. Acceptable Use

You agree not to use Confirm It to:

  • Send unsolicited messages (spam) unrelated to order confirmation.
  • Send messages to customers who have opted out or asked not to be contacted.
  • Circumvent or interfere with Shopify's systems or API rate limits.
  • Transmit unlawful, abusive, defamatory, or fraudulent content.
  • Resell, sublicense, or redistribute the App or its components to third parties.
  • Attempt to reverse-engineer, decompile, or extract the source code of the App.
  • Use the App in any way that violates WhatsApp's Business Policy, Meta's Platform Policy, or any applicable telecommunications regulations.

6. Merchant Obligations

You are solely responsible for:

  • Compliance with messaging laws: Ensuring you have a lawful basis (consent or legitimate interest) to contact your customers via WhatsApp or voice call for order verification in all jurisdictions where your customers are located.
  • Privacy disclosure: Updating your store's own privacy policy to inform customers that their phone number may be used for automated order confirmation via WhatsApp or voice call.
  • WhatsApp Business Policy compliance: Ensuring your use of WhatsApp via the configured provider complies with Meta's WhatsApp Business Policy.
  • Valid phone numbers: Ensuring your orders contain valid, formatted phone numbers. Confirm It cannot be held responsible for failed messages due to invalid or missing phone numbers.
  • IVR provider compliance: If you use an IVR provider, ensuring that provider complies with all applicable telecommunications laws and regulations.

7. Shopify API Usage

Confirm It uses the Shopify Admin API under the scopes you granted at installation. We use these scopes only to the extent necessary to operate the App:

  • read_orders, write_orders — Read order details and update tags / notes.
  • read_fulfillments, write_fulfillments — Create fulfilments from the dashboard.
  • read_products — Display product names in order confirmations.
  • read_customers — Read customer contact details for confirmation.
  • read_locations — Select fulfilment location when creating fulfilments.

Your use of the App is also subject to Shopify's API Terms of Service.

8. Third-Party Services

Confirm It integrates with optional third-party services (Meta WhatsApp Cloud API, Green API, and your configured IVR provider). These services are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services. Outages or failures of third-party services may affect the App's ability to send confirmation messages; such failures do not constitute a breach of these Terms by Codecilia.

9. Intellectual Property

All intellectual property rights in Confirm It — including software, design, trademarks, and documentation — are owned by Codecilia. These Terms grant you a limited, non-exclusive, non-transferable licence to use the App on your Shopify store while these Terms remain in effect. No other rights are granted.

You retain all rights to your own store's data, order information, and customer data. You grant us a limited licence to process this data solely to operate the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) all confirmation messages will be delivered to customers; (c) customer responses via WhatsApp or IVR will always be captured correctly; or (d) the Service will meet your specific business requirements.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CODECILIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST ORDERS, CHARGEBACKS, OR FULFILMENT COSTS — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE CLAIM. IF THE SERVICE IS FREE AT THE TIME OF THE CLAIM, OUR MAXIMUM LIABILITY IS USD $50.

12. Indemnification

You agree to indemnify, defend, and hold harmless Codecilia, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights, including WhatsApp Business Policy; or (d) any content or data you transmit through the Service.

13. Termination

By you: You may terminate these Terms at any time by uninstalling Confirm It from your Shopify store. Upon uninstall, we deactivate your store's access token immediately. Remaining data is deleted within 48 hours per our Privacy Policy.

By us: We may suspend or terminate your access to Confirm It at any time if we reasonably believe you are in violation of these Terms, using the App in a manner that endangers our systems or other users, or upon Shopify's request.

Sections 9 (Intellectual Property), 10 (Disclaimer), 11 (Liability), 12 (Indemnification), and 15 (Governing Law) survive termination.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date above and, where appropriate, by email or an in-app notice. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where Codecilia is registered, without regard to conflict of law principles. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction.
